Terms of Service
Effective Date: 31 October 2026
These Terms of Service (the “Terms”) are an agreement between you and Walkover Web Solutions Pvt. Ltd. (“Walkover,” “we,” “our,” or “us”), the company behind Liliphant (the “Service”) — a meeting intelligence service that joins your scheduled meetings, records and transcribes them, and writes a summary, the key topics and the follow-ups afterwards.
In short: your company owns its meetings and everything made from them. Your company decides which meetings are recorded and must tell the people in them. AI-written notes can be wrong, so check them before you rely on them. We do not sell your data or use your meetings to train public AI models.
1. Agreement to These Terms
By creating an account, joining a company on Liliphant, or using the Service in any way, you agree to these Terms. If you use the Service on behalf of a company or other organization, you agree to them on its behalf and confirm that you are allowed to do so; “you” then means both you and that organization. If you do not agree, do not use the Service.
Our Privacy Policy is part of these Terms. You must be at least 18 years old, or have the permission and supervision of a parent or guardian, to use the Service.
2. The Service
With your permission, Liliphant:
- reads the calendars or scheduling accounts you connect, to find the meetings to join;
- sends a recorder, which appears as a participant, to join those meetings;
- records and transcribes them;
- uses AI to write notes from them — summaries, topics, questions, follow-ups, customer reactions and the charts built from them;
- lets you search and ask questions across your company’s meetings.
The Service is made for businesses. It is not designed to meet the requirements of HIPAA, FISMA, GLBA or similar rules for regulated health, government or financial data, and you should not use it where those rules apply.
3. Accounts and Your Organization
- Give accurate information when you sign up, and keep it up to date. Keep your sign-in private; you are responsible for what happens under your account.
- Each company on Liliphant is its own space. Its owners and admins decide who belongs to it, what they can see, which calendars are watched, and how its meetings are handled.
- The company is responsible for what its members do in the Service, and for having the right to give us the data it brings.
- Tell us straight away if you think someone has used your account without permission.
4. Recording, Notice and Consent
Recording a conversation is regulated, and the rules differ from place to place. Some require everyone in the call to agree.
- You decide what is recorded. Your company chooses the calendars and meetings Liliphant joins, and can stop it joining a meeting or delete a recording afterwards.
- You tell people, and get consent where needed. You are responsible for telling the people in your meetings that they are recorded, and for getting any consent the law of your place, or theirs, requires.
- The recorder joins as a visible participant. That helps people know, but it is not by itself legal notice or consent.
- Do not use Liliphant to record anyone where recording them would be against the law.
5. Calendars and Connected Accounts
When you connect a calendar or scheduling account — such as Google Calendar or Calendly — you let us read it to find meetings and their links. We read only what you choose to watch, and you can disconnect it at any time from Settings or from that account. Our use of data from Google APIs follows the Google API Services User Data Policy, including its Limited Use requirements, as set out in our Privacy Policy.
Those accounts, and the meeting platforms your calls are held on, are run by other companies under their own terms. You must follow those terms when you use them with Liliphant.
6. Your Content
Your company owns its content — the recordings, transcripts and meeting details it brings, and the notes, summaries and charts Liliphant makes from them (“Your Content”).
- You give us permission to store, process and show Your Content only to run the Service for you, to keep it secure, and as the law requires.
- We do not sell Your Content, and we do not use your recordings, transcripts or other meeting content to train publicly available AI models. Where we improve our own systems, we use only aggregated and anonymized data, or data your company has agreed to in writing.
- Each company is kept apart: one company’s meetings are never visible from another.
- You are responsible for Your Content, and for keeping your own copies of anything you need. We are not responsible for content you delete, or that is deleted after your account closes as described in Section 15.
7. AI-Generated Notes
Liliphant’s notes, summaries, answers, follow-up drafts and charts are written by AI from what was said. They can be incomplete or wrong — a word misheard, a promise missed, a question marked answered when it was not.
Check AI-written notes against the recording or transcript before you rely on them, and especially before you send them to anyone or act on them in a legal, financial, medical or employment decision. You are responsible for how you use them.
8. Acceptable Use
You agree not to:
- record people without the notice or consent the law requires, or use the Service to watch people unlawfully;
- use the Service for anything illegal, harmful, fraudulent or that breaks someone else’s rights;
- bring content you have no right to share, or that contains malware;
- get into accounts, companies or data that are not yours, or try to get around security or usage limits;
- copy, scrape or reverse-engineer the Service, or reach it with bots or scripts except through features we offer for that;
- overload or disrupt the Service, or resell it without our written permission;
- use the Service to build a competing product.
9. Plans, Payments and Renewals
- Paid plans are billed in advance, for the period and the usage allowance (meetings and recorded minutes) shown when you buy. Prices are in US dollars unless shown otherwise, and do not include taxes, which you pay where they apply.
- Plans renew automatically at the end of each period, and you are charged for the next one, until you cancel.
- Where we offer a free trial, the plan you chose starts when the trial ends unless you cancel before then.
- We may change prices. A new price applies from your next renewal, and we tell you before it does.
- If a payment fails, we may limit the Service until it is paid.
10. Cancellation and Refunds
- You can cancel at any time from your account. Cancelling stops the next renewal; the Service stays on until the end of the period you have paid for.
- 7-day refund: if you ask within 7 days of buying a plan, we refund it in full, no reason needed.
- If a fault on our side means a meeting is not recorded or processed, we return the usage it took.
- We may refuse a refund where the Service was misused, used heavily before asking, or refunds are asked for again and again.
- Ask for a refund by writing to us at the address in Section 23.
11. Our Intellectual Property and Feedback
The Service itself — its software, design, text, graphics, and the Liliphant name and marks — belongs to Walkover. We give you a limited, revocable, non-transferable right to use it for your company’s internal business while these Terms apply. Nothing else passes to you.
If you send us ideas or feedback, we may use them freely and without paying you for them.
12. Third-Party Services
The Service works with services run by others: calendar and scheduling providers, the meeting platforms your calls are held on, sign-in, and the partners who host the recorder, transcribe and run our AI (named in Section 8 of our Privacy Policy). Links to other websites may appear in the Service. We do not control those services and are not responsible for them; using them is between you and them.
13. Privacy and Where Data Is Processed
How we collect, use and protect personal data is set out in our Privacy Policy. Where your company uses Liliphant for its people, your company is the controller of that data and we process it on its behalf.
We are based in India, with servers and partners in several regions. By using the Service, you agree to your data being transferred to and processed in those places, with the safeguards described in the Privacy Policy.
14. Availability and Changes to the Service
We work to keep Liliphant running and reliable, but we do not promise it will always be available, error free, or that every meeting will be joined or recorded — a recorder can be refused entry, a call can drop, a provider can fail. We may change, add or remove features, and may pause the Service for maintenance. Where a change takes away something you rely on, we will try to tell you first.
15. Suspension and Termination
- You can stop using the Service and close your company’s account at any time.
- We may suspend or close an account, with or without notice, if these Terms are broken, if a payment is not made, or if the law or a risk to other users requires it. Someone whose account we closed may not open a new one without our permission.
- When an account closes, we delete Your Content within 30 days, except what the law requires us to keep. Export anything you need before then.
- The sections that by their nature should continue — such as payments owed, disclaimers, limits on liability, indemnification and disputes — continue after the account closes.
16. Disclaimers
The Service is provided “as is” and “as available.” To the extent the law allows, we make no promises beyond those written in these Terms — including any promise that the Service is fit for a particular purpose, or that recordings, transcripts or AI-written notes are complete or accurate.
17. Limitation of Liability
To the extent the law allows, neither we nor our directors, employees or partners are liable for indirect, incidental, special or consequential losses — including lost profits, revenue, data or goodwill — arising from the Service, even if we were told they might happen.
Our total liability for any claim about the Service is limited to US $10. Some places do not allow some of these limits, so they may not all apply to you.
18. Indemnification
You agree to defend and compensate Walkover and its affiliates, directors and employees against claims, losses and costs (including reasonable legal fees) brought by others that arise from your use of the Service, Your Content, recording people without the notice or consent the law requires, or your breaking these Terms or anyone’s rights.
19. Governing Law and Disputes
These Terms are governed by the laws of India, and the courts of India have exclusive jurisdiction, subject to the arbitration below.
- Talk first. Before starting arbitration, each side tries to settle the dispute informally for at least 30 days after written notice.
- Arbitration. Disputes that are not settled go to binding arbitration under the International Commercial Arbitration Court of the European Arbitration Chamber, before one arbitrator, in English, with the seat in Indore, India.
- Disputes are brought individually, not as a class or representative action.
- Claims about intellectual property, privacy or unauthorized use, and requests for urgent court orders, may go straight to court.
20. Electronic Communications
You agree to receive notices, agreements and other communications from us electronically — by email or in the Service — and that they meet any legal requirement to be in writing. Accepting these Terms electronically is as binding as signing them.
21. Changes to These Terms
We may update these Terms. For a material change we will tell you by email or in the Service at least 14 days before it takes effect. Using the Service after that date means you accept the updated Terms; if you do not, stop using it and close your account.
22. General
- These Terms, the Privacy Policy and any order or plan you accept are the whole agreement between us about the Service.
- If part of these Terms cannot be enforced, the rest still applies. Not enforcing a right is not giving it up.
- We may transfer these Terms as part of a merger, acquisition or sale of assets; you may not transfer them without our written permission.
- We are not responsible for delays or failures caused by events outside our reasonable control.
